{"id":4215,"date":"2024-09-27T16:25:10","date_gmt":"2024-09-27T14:25:10","guid":{"rendered":"https:\/\/valueinvestments.ch\/lexikon\/share-capital\/"},"modified":"2025-01-07T11:45:57","modified_gmt":"2025-01-07T10:45:57","slug":"share-capital","status":"publish","type":"lexikon","link":"https:\/\/valueinvestments.ch\/en\/lexicon\/share-capital\/","title":{"rendered":"Share capital"},"content":{"rendered":"\n<h2 class=\"wp-block-heading\">What does share capital mean?  <\/h2>\n\n<p class=\"wp-block-paragraph\">The share capital forms the <strong>share capital of a <\/strong><a href=\"https:\/\/www.valueinvestments.ch\/aktiengesellschaft\">public limited company<\/a>. <strong>The amount of the share capital<\/strong> corresponds to the <strong>amount contributed by the shareholders<\/strong>. Changes to the share capital are only possible in compliance with strict legal regulations.    <\/p>\n\n<h2 class=\"wp-block-heading\">Liberation of share capital  <\/h2>\n\n<p class=\"wp-block-paragraph\">In addition to the subscription of shares, the <strong>payment of the share capital<\/strong> is one of the basic requirements for the formation of an AG. The payment of the share capital fulfills the <strong>capital contribution obligation arising from the share subscription<\/strong> by paying the issue amount. Payment is made in the form of <strong>cash <\/strong>or the contribution of <strong>tangible assets<\/strong>, e.g.<a href=\"https:\/\/www.valueinvestments.ch\/immobilien\">real estate<\/a> or machinery.    <\/p>\n\n<h2 class=\"wp-block-heading\">Amount of share capital  <\/h2>\n\n<p class=\"wp-block-paragraph\">The amount of the share capital is <strong>determined in the articles of association when the public limited company is founded<\/strong> and divided into individual shares. The <strong>minimum capital of a public limited company in Switzerland is CHF 100,000 <\/strong>(Art. 621 of the Swiss Code of Obligations<a href=\"https:\/\/www.valueinvestments.ch\/\">)<\/a>. At least 20 percent of this must be paid in (paid up), but the minimum amount is CHF 50,000 (Art. 632 CO).   <\/p>\n\n<h2 class=\"wp-block-heading\">Shareholder participation in the share capital  <\/h2>\n\n<p class=\"wp-block-paragraph\"><strong>Any number of <\/strong><a href=\"https:\/\/www.valueinvestments.ch\/aktion%C3%A4r\">shareholders<\/a> may<strong> participate in the share capital<\/strong>. A shareholder participates in the share capital in proportion to the nominal value of his shares. The <strong>nominal value<\/strong> must be at least <strong>one centime<\/strong> (Art. 622 CO).  <\/p>\n\n<h2 class=\"wp-block-heading\">Share capital increase  <\/h2>\n\n<p class=\"wp-block-paragraph\">Capital increases may be necessary in order to remain <strong>competitive<\/strong> or to make <strong>important investments<\/strong>. Increases can also be made to <strong>reduce borrowed capital<\/strong> in order to reduce the overall financial burden on the AG.   <\/p>\n\n<p class=\"wp-block-paragraph\">When increasing share capital, a distinction is made between <strong>ordinary, authorized and conditional capital increases<\/strong>. <strong>Articles 650 to 653 of the Swiss Code of Obligations (CO)<\/strong> form the legal basis for the increase:   <\/p>\n\n<h4 class=\"wp-block-heading\">Ordinary capital increase<br\/><strong>(Art. 650 OR)<\/strong><\/h4>\n\n<p class=\"wp-block-paragraph\">Increase in share capital by resolution of the Annual General Meeting. The capital increase must then be implemented by the Board of Directors within three months.   <\/p>\n\n<h4 class=\"wp-block-heading\">Authorized capital increase<br\/><strong>(Art. 651 CO <\/strong>)  <\/h4>\n\n<p class=\"wp-block-paragraph\">The General Meeting of Shareholders decides on the possibility of increasing the share capital by a certain amount within a maximum period of two years<strong> <\/strong>&#8211; but no more than 50 percent of the existing share capital. The Board of Directors decides at its own discretion when to implement the increase.   <\/p>\n\n<h4 class=\"wp-block-heading\">Conditional capital increase<br\/><strong>(Art. 653 OR <\/strong>)  <\/h4>\n\n<p class=\"wp-block-paragraph\">In this case, the General Meeting may decide to increase the capital by granting conversion or <a href=\"https:\/\/www.valueinvestments.ch\/optionen\">option rights<\/a>or employees the right to subscribe to new <a href=\"https:\/\/www.valueinvestments.ch\/aktie\">shares<\/a>. However, the decision to increase the share capital is not made by the Board of Directors. Rather, the increase depends on the <a href=\"https:\/\/www.valueinvestments.ch\/aktion%C3%A4r\">shareholders<\/a> deciding to subscribe to new shares.    <\/p>\n\n<p class=\"wp-block-paragraph\"><\/p>\n","protected":false},"template":"","class_list":["post-4215","lexikon","type-lexikon","status-publish","hentry"],"_links":{"self":[{"href":"https:\/\/valueinvestments.ch\/en\/wp-json\/wp\/v2\/lexikon\/4215","targetHints":{"allow":["GET"]}}],"collection":[{"href":"https:\/\/valueinvestments.ch\/en\/wp-json\/wp\/v2\/lexikon"}],"about":[{"href":"https:\/\/valueinvestments.ch\/en\/wp-json\/wp\/v2\/types\/lexikon"}],"wp:attachment":[{"href":"https:\/\/valueinvestments.ch\/en\/wp-json\/wp\/v2\/media?parent=4215"}],"curies":[{"name":"wp","href":"https:\/\/api.w.org\/{rel}","templated":true}]}}
